Terms & Conditions

1. Acceptance

By accepting our quote or proposal, or by making a payment to Confluent Marketing Limited (“we”, “us”, “our”), you (“the Client”) agree to these Terms and Conditions.

2. Charges

We will charge you as outlined in your quote or proposal. If any additional work or costs arise during the project, we will provide a separate quote and will only proceed once you’ve approved it in writing. All quotes are valid for 30 days unless otherwise stated. Please ensure your quote is still valid before accepting.

3. Payments

For projects over £2,500, we require a 25% upfront mobilisation fee. The remaining balance will be invoiced upon project completion, or as otherwise agreed in your proposal.
For projects under £2,500, full payment is typically due upon completion.

Website Support and Hosting services may be paid annually or monthly in advance. Monthly plans have a minimum commitment of 6 months and require 30 days’ written notice for cancellation. Where we incur upfront costs on your behalf—such as plugins, licences, or domain renewals—these are non-refundable, even if the agreement ends early.

Invoices are due within 30 days. If unpaid, we reserve the right to charge a late fee of the greater of £50 or 5% of the overdue amount per month. We may also apply interest in line with the Bank of England base rate plus 5% annually until payment is received.
Receipts will be issued on request.

4. Intellectual Property

Ownership of website design and custom content created by us transfers to you once full payment has been received. Third-party tools or licensed components (e.g. plugins, fonts, stock media) remain subject to their respective licences. We retain the right to reuse non-client-specific design elements and frameworks across other projects. Where third-party rights are involved, your use of those assets is conditional on us securing the appropriate licences on your behalf.

5. Project Process & Review

Projects typically follow these stages:
• Planning
• Design (includes up to one round of revision as specified in your quote or proposal)
• Development
• Go-live

We will request written approval at key stages. If there are any discrepancies between the signed-off design/development and the final product, we will fix them at no cost.
Changes requested after sign-off may incur additional charges. Edits requested more than 14 days after launch will be considered new work unless covered by an active Website Support and Hosting plan.

Print:
Digital proofs will be sent before any print jobs. Amends requested after proof approval will be chargeable at an agreed rate.

Post-Launch Changes:
We are not responsible for changes made by others after launch. This includes plugin updates, edits, or code changes. Support outside an active Website Support and Hosting plan will be quoted separately.

6. Turnaround Time

We will work to an agreed schedule. If either party is unable to maintain the schedule, we’ll amend it within reason. If there is a substantial delay on the Client’s side, we reserve the right to invoice for work completed to date.

7. Additional Expenses

The Client agrees to reimburse Confluent Marketing Limited for any necessary additional expenses required to complete the work. These may include, but are not limited to, stock photography, special fonts, stock videos, or premium plugins.
We will always inform you before making any such purchases. Where we manage domains, email (e.g. Google Workspace), or other third-party services on your behalf, we reserve the right to apply an admin fee at our discretion.

8. Hosting & Email Services

Hosting is provided through a trusted third-party provider (currently SiteGround). While we manage this on your behalf, we are not liable for outages or issues beyond our control.
We handle backups and maintenance when we provide hosting. If you’ve paid for email setup or configuration, this will be handled during onboarding.

9. Browser Support

We build websites for compatibility with the latest versions of Chrome, Safari, Firefox, and Edge. We do not guarantee full compatibility with outdated or future browsers. Future updates to support new browsers or features may be quoted separately.

10. Portfolio & Credits

We may include a small “Website by Confluent Marketing” link in your site footer unless agreed otherwise. Unless you request otherwise in writing, we may showcase your project in our portfolio, case studies, or marketing materials.

11. Termination

You must give notice of termination in writing. Email or phone requests are not valid until confirmed in writing. For Website Support and Hosting, 30 days’ notice is required and subject to Section 3 of this agreement.

We’ll invoice for any work completed up to the date of cancellation. Fees already paid are non-refundable. Either party may terminate this agreement immediately if the other party commits a material breach or becomes insolvent. This does not affect our right to invoice for work done or non-refundable third-party costs incurred.

12. Liability

While we aim to deliver a high standard of service, we are not liable for:
• Delays or errors after client sign-off
• Loss of data, business, or revenue caused by third-party services
• Post-launch changes made by others
• Losses resulting from your own breach or misapplication of our services
• Any indirect, special, or consequential damages, including loss of profits, reputation, or anticipated savings

Our total liability is limited to the total fees paid by you in the 12 months preceding any claim.
We will not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, third-party service interruptions, or government action.

13. Data Protection

Where we handle personal data on your behalf, we act as a “data processor.” You remain the “data controller” under the UK GDPR.

We will:
• Process only as necessary to deliver our services
• Not retain data longer than needed
• Restrict access to those who need it
• Maintain appropriate security measures
• Provide full details in our Data Protection Policy (available on our website)
• For questions or complaints, contact: rwalsh@confluentmarketing.co.uk

14. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be resolved under English law.

15. General

These Terms and Conditions supersede all previous representations, understandings or agreements. The Client’s acceptance of a quote, proposal, or mobilisation fee constitutes agreement to these Terms.

16. Severability

If any part of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain unaffected. Any invalid clause shall be replaced by a lawful clause that best reflects the original intent of the parties.
